Terms of Service
1. Introduction and Acceptance
Welcome to Tally. These Terms of Service ("Terms") govern your access to and use of the Tally mobile application and all associated services (together, the "Services") provided by Tally Labs (UK) Limited ("Tally", "we", "us", or "our").
By downloading or using the Tally app, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
These Terms constitute a legally binding agreement between you and Tally. The Services are intended solely for use by individuals operating as sole traders, micro businesses, or small enterprises in the United Kingdom.
2. Eligibility
You must be at least 18 years old and a resident of the United Kingdom to use the Services. By using Tally, you represent and warrant that you meet these requirements.
The Services are designed for business use. You confirm that you are using the Services in a business capacity and not as a consumer in a personal capacity where a different regulatory framework may apply.
3. Description of Services
Tally is a mobile-first business management platform providing tools to help sole traders and micro businesses manage their finances and operations. Our current Services include:
- Bookkeeping and financial record management
- Digital tax filing assistance and document preparation
- Business performance tracking and reporting
- AI-generated insights into performance drivers and trends
- AI-generated insights into operational and audit risks
- Inventory tracking
- Point of sale transaction management
- Time management tools
- Customer order management
- Service booking and scheduling
We may introduce, modify, or withdraw features at any time. Where a change is material, we will give you reasonable notice via the app or by email.
4. Account Registration
To access the Services you must create an account. You agree to provide accurate, current and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorised access to or use of your account.
You may not share your account with others or allow others to access your account. You are fully responsible for all activity that occurs under your account.
5. Free Access and Future Subscription Fees
The Services are currently provided free of charge during our initial launch phase. We intend to introduce a paid subscription model in the future — currently anticipated to be approximately £5 per month — at which point we will give you advance notice of the change and the opportunity to review and accept the new pricing terms before being charged.
When paid plans are introduced, unless you cancel prior to the commencement of billing, your continued use of the Services will constitute acceptance of the applicable subscription fees. We will explain all pricing, billing cycles, renewal and cancellation terms clearly at that time.
6. Bank and Financial Account Connections
The Tally app offers the ability to connect to your existing bank accounts, payment accounts, and card accounts (collectively, "Connected Accounts") to retrieve and verify transaction data for the purposes of bookkeeping, reconciliation, and financial reporting. This functionality is provided subject to the following:
6.1 Your Authorisation
By connecting a bank or payment account, you explicitly authorise Tally to access the transaction data associated with that account in accordance with applicable regulations, including the Payment Services Regulations 2017. You may withdraw this authorisation at any time through the app settings.
6.2 Third-Party Service Providers
Account connectivity is facilitated through regulated third-party open banking service providers. Your connection to those providers is subject to their own terms and conditions. Tally is not responsible for the acts or omissions of such third parties.
6.3 Limitation of Liability for Connected Accounts
Tally provides Connected Account features on an "as available" basis. We do not guarantee the availability, continuity, accuracy, timeliness, or completeness of data retrieved through Connected Account connections. We expressly disclaim all liability for:
- Interruptions, errors, or failures in the connection to any bank or payment provider
- Inaccuracies or delays in transaction data received from third-party providers
- Any loss or damage arising from your reliance on data retrieved through Connected Accounts
- Any security breach occurring at the level of your bank or payment service provider
You remain solely responsible for verifying that all transaction data imported into Tally is accurate, complete, and correctly categorised.
7. Bookkeeping and Tax Filing
7.1 Nature of the Service
Tally provides tools to help you record financial transactions, prepare bookkeeping records, and generate documentation for digital tax filing, including submissions compatible with HM Revenue & Customs (HMRC) Making Tax Digital requirements. These tools are provided to assist you in organising and submitting your own financial information — they do not constitute professional accounting, legal, or tax advice.
7.2 Your Responsibilities
You are solely responsible for:
- The accuracy and completeness of all data you input into the Services
- Verifying and reconciling all transactions before submitting records or filing with HMRC
- Ensuring your use of the Services complies with all applicable tax laws and HMRC requirements
- Maintaining appropriate records independently of the Tally platform
7.3 Limitation of Liability
Tally shall not be liable for any loss, penalty, fine, or other consequence arising from:
- Inaccurate, incomplete, or misleading data entered by you
- Your failure to verify or reconcile transaction data
- Any error in a tax filing resulting from incorrect information provided by you
- HMRC decisions, investigations, penalties, or other regulatory actions
Nothing in these Terms removes or limits your obligations to HMRC or any other regulatory body.
8. AI Insights and Performance Analytics
8.1 Nature of AI Features
Tally uses artificial intelligence and machine learning to generate insights regarding your business performance, including identification of potential drivers of revenue and risk, and flags relating to operational or audit concerns. These insights are generated automatically based on data you provide and patterns observed across aggregated data.
8.2 Not Professional Advice
AI-generated insights are provided for informational and general guidance purposes only. They do not constitute, and must not be relied upon as, professional financial, accounting, tax, legal, investment, or business advice. You should seek independent professional advice before making any significant business or financial decision.
8.3 Limitation of Liability for AI Outputs
Tally does not warrant the accuracy, completeness, reliability, or fitness for purpose of any AI-generated insight or recommendation. We expressly disclaim all liability for any loss or damage — including financial loss, missed opportunity, or regulatory consequence — arising directly or indirectly from your reliance on any AI-generated output provided by the Services.
9. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable UK law or regulation
- Input false, misleading, or fraudulent data into the Services
- Attempt to gain unauthorised access to any part of the Services or related systems
- Use the Services to facilitate tax evasion or financial fraud
- Reverse engineer, decompile, or tamper with the Tally application
- Resell or sublicense access to the Services to any third party
10. Intellectual Property
All intellectual property rights in the Services, including the Tally application, its design, content, functionality, and underlying technology, are owned by or licensed to Tally Labs (UK) Limited. Your use of the Services does not grant you any ownership rights in any part of the Services.
You retain ownership of the data you input into Tally. By using the Services, you grant Tally a non-exclusive, worldwide, royalty-free licence to use, process, store, and analyse your data for the purposes of providing and improving the Services, as further described in our Privacy Policy.
11. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what data we collect, how we use it, and your rights in relation to that data. Please read it carefully.
12. Third-Party Services and Integrations
The Services may integrate with or link to third-party services, platforms, or providers. Tally is not responsible for the availability, content, or practices of any third-party service. Your use of third-party services is subject to their own terms and privacy policies.
13. Disclaimer of Warranties
The Services are provided "as is" and "as available" without any warranty of any kind, express or implied. To the fullest extent permitted by law, Tally disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- Any data processed through the Services will be accurate or complete
- The Services will meet your specific business requirements
- Any defects or errors will be corrected
14. Limitation of Liability
To the fullest extent permitted by applicable law:
- Tally's total aggregate liability to you under or in connection with these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by you to Tally in the 12-month period preceding the event giving rise to the claim, or £100 (whichever is greater)
- Tally shall not be liable for any indirect, consequential, incidental, special, or punitive loss or damage, including loss of profits, loss of revenue, loss of data, loss of business opportunity, or damage to reputation
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
15. Indemnification
You agree to indemnify and hold harmless Tally Labs (UK) Limited, its directors, employees, and agents from and against any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Services, or any inaccurate data you provide through the Services.
16. Suspension and Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have breached these Terms, if required by law, or if the Services are discontinued. We will endeavour to give you reasonable notice unless an immediate suspension is necessary.
You may stop using the Services and delete your account at any time through the app settings. On termination, your right to access the Services ceases. We will handle your data in accordance with our Privacy Policy and applicable law.
17. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable advance notice via the app or email. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Services.
18. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We aim to resolve any concerns informally in the first instance. Please contact us at info@tallyapp.com before initiating formal proceedings.
19. General
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. Our failure to exercise any right under these Terms shall not constitute a waiver of that right. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tally with respect to your use of the Services.
